Pilot Company’s founding family has exited the business.

The Haslam family has sold the rest of its 20% ownership to Berkshire Hathaway, ending their 65-year history with the North American travel and fuel company founded by James A. Haslam II.

The closed sale, announced Jan. 16, is the final transfer of power that began in 2017 when Warren Buffett’s far-reaching business empire acquired a minority stake in Pilot, headquartered in Knoxville.

Berkshire spent $10.96 billion to buy the first 80% of Pilot, but the sale price of the final 20% has not been made public. In quarterly SEC filings throughout 2023, Berkshire listed Pilot’s “redeemable noncontrolling interest” at around $3.2 billion.

Earlier this month, the Haslam family and Berkshire settled lawsuits accusing each other of attempting to influence the sale price.

Pilot, founded in 1958 as a single gas station in Gate City, Virginia, peaked at No. 5 on Forbes’ list of largest private companies in the U.S.

It remains one of Knoxville’s most prominent national brands and significant employers.

How Berkshire acquired Pilot ownership

Pilot, with about 30,000 employees and 870 Pilot, Pilot Flying J and One9 travel centers, is the largest travel center operator in North America. It operates the third-largest tanker fleet in North America and supplies approximately 14 billion gallons of fuel a year.

Buffett, one of the best investors in the world, has a hands-off reputation with the companies he buys.

Berkshire executives in the past have said there are no plans to relocate the company’s Knoxville headquarters, also home to its sales and support center. The company has about 2,000 employees in Knoxville.

The billionaire Buffett, 93, said in a 2017 press release announcing the Pilot deal that Berkshire had “never made a move of the home office of any company we’ve bought. We don’t buy companies to change them.”

Berkshire bought Clayton Homes for $1.7 billion in 2003, and more than 20 years later its corporate headquarters remains in Maryville.

Berkshire is a “preferred owner” for retaining employees and preserving companies, professor David Kass told Knox News last year. He’s a clinical professor of finance at the Robert H. Smith School of Business at University of Maryland who studies Berkshire and Buffett. 

Berkshire reported in a November SEC filing that Pilot had $37.4 billion in revenue for February through September 2023.

In what Buffett once called a “sensible” acquisition, Berkshire paid a reported $2.76 billion to acquire 38.6% of Pilot in 2017, leaving 50.1% ownership to the Haslam family and 11.3% to the Maggelet family.

The 2017 deal outlined that Berkshire would acquire a majority stake in 2023. It left the door open for the Haslams to get out of the business entirely, giving the family a 60-day window annually beginning Jan. 1, 2024, to sell its remaining 20% stake to Berkshire.

In 2023, Berkshire acquired another 41.4% for approximately $8.2 billion. That brought the Omaha-based company up to 80% ownership, leaving the Haslams 20% and two of seven board seats.

After it acquired majority ownership, Berkshire in a rare move replaced Pilot’s top executives with two of its own , transferring leadership selection away from the Haslams for the first time in company history.

“Berkshire owns 80%,” Jimmy Haslam told Knox News at the time. “It’s their call.”

Pilot CEO Adam Wright has deep ties to Berkshire and more than 20 years of experience in the energy industry.

Berkshire executive Greg Abel, who oversees Pilot as part of the company’s non-insurance business arm, is Buffett’s heir apparent.  

Berkshire and Haslams settle lawsuits over Pilot sale price

The 2017 agreement said the sale price for the family’s final 20% would be based on Pilot’s earnings from the previous year.

The Haslams and Berkshire sued each other at the end of 2023 over the sale price. The Haslams accused Berkshire of allegedly defying their agreement by changing accounting practices to deflate the sale price. Berkshire responded, alleging Jimmy Haslam tried to bribe Pilot employees with payments in an attempt to drive the sale price up, an allegation the Haslam family denied.

The lawsuits were settled earlier this month , but the terms were not disclosed.

Bloomberg News previously reported federal prosecutors in Manhattan were investigating whether Jimmy Haslam offered those payments.

“We will always consider the Pilot Flying J team as family, and we wish them success as they continue to develop the best travel center network in North America and keep America moving,” Jimmy Haslam said in a press release.

The Haslams have strong ties to Knoxville outside of Pilot through their many philanthropic contributions.

The Haslam College of Business , named for Pilot founder Jim Haslam in 2014 after the family donated $50 million, was ranked the No. 26 public business school for undergraduates in 2023 by U.S. News & World Report.  

In December 2023, the Haslams donated $10 million to University of Tennessee Medical Center to double the size of its emergency department and rename it for the family. It is the largest philanthropic gift in the hospital’s history, according to UT Medical Center.

Pilot investing in upgraded travel centers and EV charging stations

Pilot continues to invest in new technology and travel center improvements.

In December 2023, Pilot and General Motors opened the first handful of EV charging stations at Pilot locations, with plans to become a nationwide network as consumers consider the value and risk of electric vehicles.

The company also announced in December it has remodeled its first 100 travel centers as part of a $1 billion makeover.

The famed investor's Berkshire Hathaway acquire d the remaining 20% of Pilot Travel Centers from Cleveland Browns co-owner Jimmy Haslam's family on Tuesday. It originally paid $2.8 billion for 38.6% of the truck-stop operator in 2017, then shelled out another $8.2 billion to boost its stake to 80% last January.

Berkshire and Pilot haven't revealed the price paid for the final 20% stake, which Buffett's company valued at north of $3 billion last year. The two sides accused each other of manipulating Pilot's financials to alter the valuation before reaching an undisclosed settlement earlier this month.

The Haslam family grew Pilot from a single gas station in 1958 into the fifth-largest private company in America with more than 750 locations across the US and Canada. Under the Pilot Flying J, Pilot Travel Centers, and Mr. Fuel brands, it provides services like gas pumps, fast-food restaurants, parking, laundry, and showers to truck drivers and other motorists . It sells about 14 billion gallons of fuel and $3 billion worth of food and merchandise a year.

Pilot's revenues jumped from about $20 billion in 2017 to $42 billion in the first nine months of last year, and the company now generates over $1 billion in annual pre-tax earnings. That's not insignificant for Berkshire, which raked in $302 billion of total revenues and earned $31 billion in operating income in 2022, per its latest annual report.

It took Buffett more than six years and probably over $13 billion to take full ownership of Pilot. The business isn't the behemoth he's been looking to bring down with his " elephant gun " or cash pile, which stood at a record $157 billion in September. But it ranks among Berkshire's biggest deals in recent years and is certainly a step in the right direction.

GM, EVGo Ink Deal to Put Fast Chargers at Pilot, Flying J Travel Centers

A network of 2,000 charging stalls will make road trips less stressful..

T his is a collaboration that might prove to be a game-changer for those who want to travel the U.S.A. in their Chevrolet—or any other brand of electric vehicle. General Motors is partnering with Pilot Company (Pilot and Flying J travel centers) to create a DC fast charging network that would install EVgo chargers at 50-mile intervals on main highways across the U.S. The network of 2,000 charging stations would be capable of offering up to 350 kW and there would be pull-through charging stations to make it easier for those who tow.

The plan is to add 2,000 charging stations at 500 Pilot and Flying J centers; more if demand warrants. They will start popping up early in 2023 and should all be in place in 2025. They will be co-branded "Pilot Flying J" and "Ultium Charge 360" and will be available to charge all compatible EV brands to help reduce range anxiety, especially for long trips. The fee for charging will vary by market and cost of electricity. The number of stations at each travel stop will also vary by projected traffic volume.

The charging network will be installed, operated, and maintained by EVgo. They will be in operation 24/7 and there will always be people around to troubleshoot when necessary. The travel centers are used to attending to fuel pumps that break down and payment systems that malfunction, so doing the same for chargers is a natural extension, said Pilot Company CEO Shameek Konar.

Travel Centers Make Sense for EV Charging

The elegance of this solution to electric long-distance travelling is that the travel centers are already in place on main travel routes. They have a lot of real estate: there is room to keep existing fuel pumps and add charging stations, including pull-throughs, on site, said Konar.

EVgo CEO Cathy Zoi loves the locations and space they afford—EVgo has worked with tiny urban spaces to install many of its stations to date. She says charging station suppliers are excited as well and geared up to meet the ambitious timetables.

Getting the stations in place will happen quickly because the time-consuming act of finding sites is a moot point when the host is part of the rollout plan. The first real hurdle is necessary permits, which Konar says will be made easier given the company's existing relationship with utility companies.

Pilot sees the charging stations as a natural extension of its New Horizons initiative to invest $1 billion to upgrade its travel centers so motorists can get fuel, food, restrooms, showers, and enjoy free Wi-Fi and lounges while charging. Konar said he will adjust the amount of investment as demand warrants. Currently Pilot centers have chargers only in five locations and they are all Tesla superchargers.

Perks for GM Owners of EVs

GM customers will receive special benefits such as exclusive reservations, discounts, seamless charging and payment through Plug and Charge, and brand apps will provide real-time info on charger locations and availability to help with route planning.

EVgo is also working with GM to add more than 3,250 fast chargers in cities and suburbs by the end of 2025. And GM is working with dealers to install up to 40,000 chargers in local communities with a focus on underserved rural and urban areas. These projects are part of GM's $750 million investment in EV charging, creating what it calls the Ultium Charge 360 ecosystem .

All three partners see this project as a means to spur widespread adoption of EVs. They decided to install 350 kW chargers in anticipation that all vehicles will eventually be able to charge at that speed, and drivers will come to expect to gain 150 miles of range in 10 minutes.
